These Terms & Conditions set out the standard basis on which Nacretech works with its clients. They are intended to keep every engagement clear and commercially straightforward, while allowing the specific requirements of each project to be agreed separately. These Terms apply to services provided by Nacretech unless alternative terms are agreed in writing. Project specific details, including scope, deliverables, timelines and fees, will be set out in the relevant proposal, quotation, Statement of Work or service agreement. Where a project specific agreement contains different terms, that agreement will take priority for the relevant engagement.
Nacretech provides technology and growth services across areas such as strategy, design, software development, web and mobile solutions, AI, e-commerce, digital marketing and related professional services.
The exact services included in an engagement will be defined in the agreed proposal or project documentation.
We approach each engagement according to its own business objectives and requirements rather than applying a fixed scope to every client.
Before work begins, we will agree the principal scope, deliverables and commercial arrangements for the project.
As projects develop, requirements may occasionally change. Where a request goes beyond the agreed scope or introduces additional work, we will discuss the impact on cost and timeline before proceeding.
This ensures that both Nacretech and the client remain aligned as the project moves forward.
Successful projects rely on timely collaboration from both sides.
Nacretech will provide the agreed services with professional care and will keep the client informed of relevant progress, decisions and requirements throughout the engagement.
Clients are expected to provide the information, content, access, feedback and approvals reasonably required for the work to progress.
Where a project depends on client input or third-party access, delays in receiving those items may require the project schedule to be adjusted accordingly.
Project fees, payment milestones and invoicing arrangements will be outlined in the relevant proposal, quotation or agreement.
Payments should be made according to the agreed schedule.
Unless specifically included within the project scope, external expenses such as hosting, domains, advertising spend, software subscriptions, licences, APIs or other third-party services are separate from Nacretech’s professional fees.
If an invoice remains outstanding beyond the agreed payment period, we may pause the affected work until the account has been brought up to date.
Ownership arrangements will follow the terms agreed for each engagement.
Unless otherwise stated in the relevant agreement, rights to final client-specific deliverables will transfer to the client once the applicable project fees have been paid in full.
Any materials, technology, frameworks, methods, reusable components or intellectual property owned by Nacretech before the engagement, or developed independently of the client’s project, will remain the property of Nacretech.
Likewise, materials and intellectual property supplied by the client remain the property of the client or their respective owners.
We recognise that client engagements may involve commercially sensitive, strategic or technical information.
Nacretech will treat confidential information shared during an engagement with appropriate care and will use it only for purposes connected with the agreed work.
Where a project requires specific confidentiality commitments, these may be covered by a separate Non-Disclosure Agreement or included within the relevant service agreement.
The same expectation applies to confidential information belonging to Nacretech that may be shared with the client during the engagement.
Some projects may rely on third-party platforms, software, hosting providers, APIs, plugins, advertising platforms or other external services.
Where these are required, their own terms, licences, availability and pricing will continue to apply.
We will make reasonable efforts to recommend suitable solutions, but changes made independently by third-party providers remain outside Nacretech’s direct control.
A project will be considered complete when the agreed deliverables have been provided and any applicable review or approval process has been concluded.
If either party needs to end an engagement before completion, the applicable project agreement will determine the cancellation arrangements.
Where no specific cancellation terms have been agreed, both parties should provide reasonable written notice and work together to conclude the engagement in an orderly manner.
Fees for work already completed and approved project expenses will remain payable.
Nacretech will provide its services with reasonable professional skill and care and in accordance with the scope agreed with the client.
While we are committed to producing high-quality work and making considered recommendations, commercial outcomes can depend on many factors beyond the direct control of Nacretech, including market conditions, customer behaviour, third-party platforms and decisions made after delivery.
Any specific performance commitment or warranty will therefore apply only where it has been expressly agreed as part of the relevant engagement.
These Terms should be read together with any proposal, Statement of Work or service agreement agreed between Nacretech and the client.
They will be governed by the laws of [Country / State], unless a different jurisdiction has been agreed for a particular engagement.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to apply.
